Jednalo se o z\u00e1vazek uzav\u0159\u00edt budouc\u00ed kupn\u00ed smlouvu a n\u00e1rok realitn\u00edho makl\u00e9\u0159e na smluvn\u00ed pokutu v p\u0159\u00edpad\u011b poru\u0161en\u00ed tohoto z\u00e1vazku.<\/p>\n\n\n\n<p>Realitn\u00ed zprost\u0159edkovatel se v&nbsp;posuzovan\u00e9 rezerva\u010dn\u00ed smlouv\u011b mj. zav\u00e1zal vykon\u00e1vat \u010dinnost sm\u011bruj\u00edc\u00ed k uzav\u0159en\u00ed kupn\u00ed (realitn\u00ed) smlouvy v\u010detn\u011b zaji\u0161t\u011bn\u00ed p\u0159\u00edpravy n\u00e1vrhu t\u00e9to smlouvy, tedy k z\u00e1vazku, kter\u00fd b\u00fdv\u00e1 pom\u011brn\u011b standardn\u00ed sou\u010d\u00e1st\u00ed rezerva\u010dn\u00edch smluv. Z\u00e1jemce&nbsp;o nemovitost pot\u00e9 uhradil rezerva\u010dn\u00ed poplatek, kter\u00fd m\u011bl b\u00fdt v p\u0159\u00edpad\u011b dokon\u010den\u00ed obchodu pou\u017eit na \u00fahradu provize realitn\u00edho zprost\u0159edkovatele.<\/p>\n\n\n\n<p>Z\u00e1jemce od rezerva\u010dn\u00ed smlouvy n\u00e1sledn\u011b odstoupil a po\u017e\u00e1dal o vr\u00e1cen\u00ed rezerva\u010dn\u00edho poplatku. Realitn\u00ed zprost\u0159edkovatel ale rezerva\u010dn\u00ed poplatek nevr\u00e1til a zapo\u010detl n\u00e1rok na vr\u00e1cen\u00ed rezerva\u010dn\u00edho poplatku proti smluvn\u00ed pokut\u011b, jeliko\u017e z\u00e1jemce poru\u0161il svou povinnost uzav\u0159\u00edt kupn\u00ed smlouvu.<\/p>\n\n\n\n<p>Nejvy\u0161\u0161\u00ed soud p\u0159i posuzov\u00e1n\u00ed v\u011bci dosp\u011bl k&nbsp;z\u00e1v\u011bru, \u017ee p\u0159edm\u011btnou <strong>t\u0159\u00edstrannou rezerva\u010dn\u00ed smlouvu uzav\u0159enou s&nbsp;realitn\u00ed kancel\u00e1\u0159\u00ed je nutn\u00e9 ch\u00e1pat jako smlouvu o realitn\u00edm zprost\u0159edkov\u00e1n\u00ed <\/strong>ve smyslu z\u00e1kona \u010d. 39\/2020 Sb., o realitn\u00edm zprost\u0159edkov\u00e1n\u00ed. Realitn\u00ed zprost\u0159edkovatel se v n\u00ed toti\u017e zav\u00e1zal, \u017ee z\u00e1jemci zprost\u0159edkuje uzav\u0159en\u00ed realitn\u00ed smlouvy (resp. vyv\u00edjet \u010dinnost sm\u011b\u0159uj\u00edc\u00ed k uzav\u0159en\u00ed). Ve smlouv\u011b o realitn\u00edm zprost\u0159edkov\u00e1n\u00ed ale dle z\u00e1kona nelze ulo\u017eit z\u00e1jemci, kter\u00fd je spot\u0159ebitelem, povinnost uzav\u0159\u00edt realitn\u00ed smlouvu. Takov\u00fd z\u00e1vazek je <strong>absolutn\u011b<\/strong> <strong>neplatn\u00fd<\/strong>, a proto jej ani nelze utvrdit smluvn\u00ed pokutou.<\/p>\n\n\n\n<p>K&nbsp;uzav\u0159en\u00ed budouc\u00ed kupn\u00ed smlouvy se proto mohou platn\u011b zav\u00e1zat pouze budouc\u00ed \u00fa\u010dastn\u00edci kupn\u00ed smlouvy, tzn. prod\u00e1vaj\u00edc\u00ed a kupuj\u00edc\u00ed. Tento z\u00e1vazek z\u00e1rove\u0148 nem\u016f\u017ee b\u00fdt sou\u010d\u00e1st\u00ed trojstrann\u00e9 rezerva\u010dn\u00ed smlouvy napl\u0148uj\u00edc\u00ed definici smlouvy o realitn\u00edm zprost\u0159edkov\u00e1n\u00ed, je-li stranou spot\u0159ebitel.<\/p>\n\n\n\n<p>Oblast pr\u00e1va nemovitost\u00ed pat\u0159\u00ed mezi jednu ze specializac\u00ed na\u0161\u00ed advok\u00e1tn\u00ed kancel\u00e1\u0159e.
